Tailored Leadership™ Single-Facility License Agreement

This agreement is between Montgomery Hassell, Inc. and the purchasing organization identified below (“Organization”). It covers the Tailored Leadership™ program or individual sessions identified in the order, including the accompanying guides, presentations, worksheets, and supporting materials (“Materials”).

Licensed use. Upon Montgomery Hassell’s acceptance of the order and receipt of payment, the Organization receives a nonexclusive, nontransferable license for ongoing internal leadership development at the single facility identified below (“Covered Facility”), subject to compliance with this agreement. The license permits repeated use with current and future employees of the Covered Facility and is not limited to one training group. No recurring license fee is required for continued authorized use of the Materials purchased.

Permitted copying and delivery. The Organization may reproduce designated Participant Guides, worksheets, and exercises as reasonably necessary for authorized internal training. Facilitator materials may be used only by facilitators authorized by Montgomery Hassell. Purchasing the Materials does not confer facilitator certification or permission to provide training commercially to others.

Ownership and restrictions. The Materials are licensed, not sold, and ownership remains with Montgomery Hassell or the identified rights holders. The Organization must retain copyright and trademark notices and prevent unauthorized access or distribution. Without Montgomery Hassell’s prior written permission, the Materials may not be resold, sublicensed, publicly posted, shared with other facilities or outside organizations, or repackaged into another training product. Facilitators may use appropriate workplace examples and their own delivery style while preserving the program’s Leadership Standard, objectives, sequence, and required practice. Other modifications require written permission.

Scope of purchase. Additional facilities require additional licensing. Facilitator training, professional facilitation, coaching, customization, and future editions are not included unless expressly stated in the order.

Purchase orders and access. A request for an invoice or purchase-order processing does not complete a purchase or authorize downloading or using the Materials. Access is provided after order acceptance and payment, unless Montgomery Hassell approves different payment arrangements in writing. Purchase-order terms do not modify this agreement unless Montgomery Hassell expressly agrees to the changes in writing.
